Overview - trademark assignment Registration

What is it?

Trademark Assignment is the transfer of ownership of a registered or pending trademark from one party (Assignor) to another (Assignee). The assignment must be in writing, signed by both parties, and recorded with the Trademark Registrar to have full legal effect. Assignment can be with or without the associated business goodwill.

Types of assignment

Assignment with goodwill: The right to use the mark in connection with the goodwill of the business is transferred. Assignment without goodwill: Only the registration is transferred - the assignor retains the business goodwill. Partial assignment: Transfer restricted to specific goods/services within the registered class.

Registration of assignment

The assignment must be recorded with the Trademark Registry by filing Form TM-P (or TM-M for pending applications) within 6 months of the assignment. After recordal, the register is updated to show the new owner.

Difference from licensing

Assignment transfers ownership permanently - the assignor loses all rights to the mark. A trademark licence allows the licensee to use the mark while the licensor retains ownership. We advise on the appropriate structure based on commercial intent.
